Foro.live Terms of Service

Glen Strand Corporation | Version 1.0

Effective date: October 25, 2026

1 Who we are and how these Terms apply

Foro.live is operated by Glen Strand Corporation, a Washington corporation, at 8201 164th Ave NE #200, Redmond, WA 98052, United States. In these Terms, “Glen Strand”, “Foro”, “we” and “us” refer to Glen Strand Corporation. Contact us at support@ryarc.com.

These Terms govern access to the Foro.live website, application, APIs and related platform services. By affirmatively accepting these Terms, you agree to them for yourself or the business you are authorised to represent. The Privacy Policy explains how we handle personal information; accepting these Terms is not blanket consent to every form of personal data processing.

Foro is for business use, including sole traders. Individual account holders must be at least 18 and have authority to perform their role. If you accept for a company, that company is the customer and you confirm your authority to bind it.

A separately executed agreement with Glen Strand overrides these Terms to the extent of a conflict. Booking terms between a seller and buyer govern their advertising transaction but cannot impose obligations on Glen Strand without our express written agreement.

2 The platform and the advertising seller

A “Network Operator” is the company or sole trader operating an advertising network through Foro, represented by its authorised Network Owner, Domain Admin or other administrator. Those labels identify account roles; they do not, by themselves, make an employee personally liable. The Network Operator may differ from the owner of a physical venue or screen.

The Network Operator is the seller of its advertising inventory. A “Buyer” is the advertiser or other identified business buying that inventory. An advertising booking forms a contract between the identified Network Operator and Buyer. Glen Strand supplies the platform and is not the seller, screen operator or guarantor of that booking.

The Network Operator is responsible for its right to sell the inventory, its listings and pricing, screen and player arrangements, approvals, actual advertising delivery, delivery evidence, customer service, invoicing and applicable transaction taxes. It must identify itself accurately to Buyers.

Agencies may act for clients only with appropriate authority. A booking must identify the contracting Buyer. An agency remains responsible for its own actions and any payment obligations it expressly accepts. Uploading a client’s name, logo or media does not alone make that client a contracting party.

3 Accounts and permitted use

Subject to these Terms and any separate agreement, we grant you a limited, non-exclusive, non-transferable right to use Foro for your business purposes during your authorised access. You must supply accurate account information, protect credentials and tokens, manage permissions and promptly notify us of suspected compromise.

You are responsible for users and agents you authorise, within the scope of their authority. You must not access another account without permission, impersonate another business, circumvent spending or security controls, interfere with the service, introduce malicious code, extract data through unauthorised means or use Foro unlawfully. Reverse engineering is prohibited except where a non-waivable legal right permits it.

Do not place passwords, API secrets, payment-card details or unnecessary sensitive personal information in media, instructions or customer-agent messages. Use the designated authentication and payment interfaces.

4 Bookings and delivery evidence

A quotation, negotiation, inquiry or proposed campaign is not a confirmed booking until the applicable booking workflow records acceptance by the parties or their authorised agents. The confirmation and agreed booking terms define the inventory, delivery measure, timing, price and any other material requirements.

Foro records what it instructs players or connected systems to play. An instruction, schedule or playlist is not proof of playback on a screen. Foro does not control the physical screens or third-party players and does not independently verify actual display.

Foro may receive and present player-level analytics, playback reports and audience estimates supplied by Network Operators or other systems. These are third-party reports, not Foro-certified measurements. To the fullest extent permitted by law, Glen Strand does not warrant their accuracy, completeness or timeliness. A reported play does not establish that any particular person viewed an advertisement.

The Network Operator is responsible for delivery evidence and for resolving discrepancies with the Buyer. Reports may be corrected where an error is established. Audience impressions are estimates unless the booking expressly identifies a verified measurement and the responsible measurement provider. Nothing here converts estimated impressions into guaranteed individual views.

5 Underdelivery and cancellation

If a confirmed booking delivers less than the advertising purchased, the Buyer may choose equivalent replacement delivery or a proportionate refund for the undelivered portion, funded by the Network Operator. Replacement inventory and any extension beyond agreed campaign dates require the Buyer’s approval. If equivalent replacement delivery cannot be agreed, the Network Operator must provide the proportionate refund.

The Network Operator must disclose its cancellation policy before booking. That policy is fixed for the booking and governs refunds for Buyer-initiated cancellations. A Buyer may instruct that its advertisements stop running at any time; this does not automatically create a refund entitlement. The Network Operator is responsible for implementing the stop request through its delivery systems.

The underdelivery remedy is distinct from a voluntary cancellation. It does not create a refund for delivery prevented solely by the Buyer’s own breach, failure to provide compliant media or voluntary cancellation, except as the booking terms or mandatory law require.

Advertising refunds, delivery remedies and advertising chargebacks are the Network Operator’s responsibility. Glen Strand may provide administrative tools but does not guarantee the Network Operator’s payment or performance. Statutory rights are unaffected.

6 Payments credit and separately agreed fees

Fees and commercial payment terms are agreed separately with the relevant customer. These Terms do not establish a standard fee schedule. Each customer must pay the fees and applicable taxes it has agreed to pay Glen Strand.

Advertising payments are processed through Stripe Connect for the Network Operator’s connected account, subject to Stripe’s applicable terms and the implemented payment configuration. The Network Operator is responsible for advertising refunds, chargebacks, dispute costs and negative balances attributable to its transactions. If Stripe charges Glen Strand for an amount allocated to the Network Operator under these Terms, the Network Operator must reimburse that amount. This allocation does not change Stripe’s rights against any account holder.

The Network Operator alone decides whether to extend advertiser credit and bears all advertiser non-payment risk. Foro does not lend money, insure receivables or guarantee collection. Credit and agent commitments must remain within the permissions and limits recorded in Foro.

Advertiser non-payment does not reduce or cancel platform fees or other amounts the Network Operator owes Glen Strand under its separate commercial agreement. The treatment of fees following a cancellation or refund is governed by that agreement and mandatory law.

Glen Strand handles disputes about its own fees. Advertising payment disputes should be raised with the relevant Network Operator.

7 Advertising content and approval

The Buyer supplying advertising must hold all necessary licences, permissions and releases for its content, including intellectual property and personality rights. It is responsible for the accuracy, substantiation and legality of advertising claims. An agency must have the relevant authority from its client.

The Network Operator controls advertising approval and may expressly enable automatic approval under its chosen rules. Approval by a Network Operator does not transfer the Buyer’s responsibility for its content or claims. Network Operators remain responsible for their own conduct and legal duties.

Illegal, fraudulent, materially misleading or infringing content, hateful content or incitement to violence, and sexually explicit material are prohibited. Political advertising, alcohol, gambling and other regulated categories may be accepted only where lawful and expressly permitted by the Network Operator, with required disclosures and restrictions. Network Operators may apply stricter content rules.

We may reject, restrict or remove content that breaches these Terms or applicable law. We do not undertake to review every advertisement. Report suspected unlawful or infringing material to support@ryarc.com, identifying the material, its location, the basis of the complaint and your contact details. We may request supporting information and notify the affected customer where lawful.

8 Customer selected AI and authority

Customers decide whether to connect an external AI provider and which provider to use. External assistants and AI services are third parties governed by their own terms and privacy practices. A connection may disclose information to that provider within the permissions and workflows the customer enables.

An agent may negotiate or make binding commitments only within permissions and limits expressly authorised by the customer, including applicable spending and credit limits. Actions exceeding those permissions require fresh approval. Customers are responsible for accurately setting and reviewing permissions and for commitments their agents make within that authority.

Customers may revoke an agent’s authority through the applicable controls. Revocation prevents future authorised actions once effective; it does not undo commitments already made. Changes to instructions do not retrospectively cancel a booking.

Foro may store a customer’s “Constitution”, meaning general instructions for its AI, and messages the customer or agent leaves for the other within Foro. These are not a record of the customer’s entire conversation with an external assistant. A Constitution does not override platform permissions, spending limits, these Terms or law.

AI output can be inaccurate or unsuitable. Customers must review configurations and any action requiring their approval. Glen Strand does not guarantee an external provider’s reasoning, availability or adherence to instructions. This provision does not exclude any non-excludable responsibility of Glen Strand.

9 Customer content and platform ownership

You retain your rights in your media, instructions, Constitutions, messages and other submitted material (“Customer Content”). You grant Glen Strand and its service providers the rights necessary to host, copy, process, transmit, format and display that content to operate, secure and support Foro, fulfil authorised workflows, meet legal obligations and perform the anonymisation described below. This includes delivering advertising media to authorised networks and players.

Private Constitutions and customer-agent messages are restricted to authorised account or organisation users, authorised AI connections and authorised Foro personnel or contractors who need access for support, security, dispute resolution or the permitted anonymisation and analysis. They are not published to unrelated networks or advertisers.

Glen Strand and its licensors retain ownership of Foro’s software, interfaces, documentation and other platform intellectual property. No platform ownership transfers to you. We will protect non-public customer information from unauthorised disclosure, subject to authorised use, service-provider access, legally required disclosure and the anonymised use expressly permitted by these Terms.

10 Anonymised analysis and model development

You authorise Glen Strand to create anonymised datasets from activity on Foro, including transaction outcomes, agent behaviour, Constitutions and stored customer-agent messages. Subject to applicable law and third-party rights, Glen Strand may retain and use those anonymised datasets and resulting insights for analytics, benchmarking, research, product development and training, evaluating and improving its own AI models and services.

This permission is not limited to usage counts or metadata: it includes anonymised versions of the contents of Constitutions and stored messages. It does not transfer ownership of your underlying Customer Content. Glen Strand retains its rights in the datasets, insights and models it creates, without acquiring exclusive rights to underlying facts.

We will address identifying details within text and contextual information, not merely remove account names. Data that remains reasonably capable of identifying an individual is treated as personal information under the Privacy Policy. We will not attempt to re-identify anonymised material or publish identifiable customer confidential information through this use.

We may engage third-party providers to analyse or train on anonymised material for Foro, under restrictions preventing their independent reuse or training of their own models. This is separate from an external AI provider that you choose to connect, whose own terms govern its handling of data you authorise it to receive.

This permission survives account closure for material lawfully anonymised and retained. It does not override statutory privacy rights, an applicable data processing agreement or obligations to other rights holders. Anonymisation of personal information must itself have a lawful basis.

11 Customer publicity

You grant Glen Strand a non-exclusive, royalty-free permission to use your contracting business’s name and logo to identify it accurately as a Foro customer on our website, customer lists and sales materials, subject to reasonable brand guidelines you provide.

This permission does not authorise testimonials, detailed case studies or claims of endorsement beyond the actual customer relationship. It does not automatically extend to brands belonging to your clients, advertisers, venue partners or other third parties.

You may opt out by emailing support@ryarc.com. We will stop new promotional use and remove the name or logo from materials under our control within 30 days. We will not represent you as a current customer after the relationship ends. A separately agreed confidentiality or publicity restriction prevails.

12 Availability and third party systems

We use reasonable efforts to keep Foro available. Unless a separate written agreement expressly states otherwise, we do not promise uninterrupted or error-free service, a particular uptime, a service level or service credits. Maintenance, outages, network conditions and third-party failures may affect availability.

To the fullest extent permitted by law, Foro and third-party information are supplied on an “as is” and “as available” basis, without implied warranties of merchantability, fitness for a particular purpose or non-infringement. We do not warrant sales results, audience response, advertising delivery by others or the accuracy of third-party analytics.

Customers are responsible for their own connections, equipment, player software, permissions and independent copies of important material. Nothing in this section excludes a statutory guarantee or duty that cannot lawfully be excluded.

13 Suspension termination and account closure

We may suspend or terminate access immediately where reasonably necessary to address fraud, unlawful activity, a security threat or a serious breach. For non-payment or another remediable breach, we will give notice and a reasonable opportunity to remedy it before termination, unless immediate restriction is necessary to prevent material harm.

We may otherwise discontinue service on at least 30 days’ notice, subject to a separate agreement and applicable law. Customers may request account closure at support@ryarc.com, subject to any separate contractual term or notice requirement. Where practicable and lawful, we will explain restrictions and consider a request for review through that address.

Suspension, termination or account closure does not cancel existing bookings or remove payment, refund or other accrued obligations. The Network Operator remains responsible for resolving affected bookings with Buyers. Treatment of prepaid Foro fees for services we discontinue is governed by the separate agreement and mandatory law.

Access ends when closure takes effect. Retention and deletion follow the Privacy Policy. Provisions intended to survive, including accrued payments, rights in lawfully anonymised material, confidentiality, indemnities, liability limits and dispute provisions, remain effective.

14 Third party claims

To the extent permitted by law, you must defend Glen Strand and its officers, employees and contractors against third-party claims arising from your Customer Content, infringement of others’ rights, unlawful advertising or unauthorised use of Foro, to the extent caused by you or persons for whom you are responsible. You must reimburse resulting damages, settlements and reasonable legal costs.

This obligation does not apply to the extent a claim is caused by Glen Strand’s breach, negligence or wilful misconduct. We must notify you promptly, with any delay reducing your obligation only to the extent it materially prejudices the defence, and provide reasonable cooperation at your expense.

You may control the defence using competent counsel. You may not agree to a settlement admitting fault by Glen Strand, imposing non-monetary obligations on it or failing to release it fully without our prior written consent, which will not be unreasonably withheld. We may participate through our own counsel at our expense.

15 Exclusion and limitation of liability

PLEASE READ THIS SECTION. IT LIMITS THE REMEDIES AVAILABLE AGAINST GLEN STRAND.

To the fullest extent permitted by applicable law, Glen Strand and its suppliers exclude liability arising from or relating to Foro or these Terms. Without limiting that exclusion, they will not be liable for indirect, incidental, special, consequential, exemplary or punitive damages, or for lost profits, revenue, anticipated savings, goodwill, business opportunities or data, whether claimed in contract, tort or otherwise and even if advised of the possibility.

If liability remains despite those exclusions, Glen Strand’s and its suppliers’ combined aggregate liability to the customer for all related claims will not exceed the Foro service fees paid or payable by that customer to Glen Strand for the three months immediately preceding the first event giving rise to the claim. Advertising spend payable to Network Operators, taxes and third-party pass-through amounts are excluded from that calculation. Related events are treated as one event; the cap is not renewed for each claim.

These provisions do not exclude or limit fraud, wilful misconduct, gross negligence, statutory guarantees or any other liability to the extent it cannot lawfully be excluded or limited. They do not restrict statutory privacy rights or regulatory powers. Where Australian Consumer Law applies, nothing in these Terms excludes, restricts or modifies a non-excludable right or remedy.

The cap limits potential recovery and is not an admission of liability or a promise of compensation. A separately executed agreement may replace this allocation. Any provision found unenforceable is subject to section 18; no restriction applies beyond what applicable law permits.

16 Changes to these Terms

We will give at least 30 days’ notice of material changes by email or an in-app notification before they take effect. Changes reasonably necessary to meet legal requirements or address security threats may take effect sooner, with notice as soon as practicable.

Changes apply prospectively. They do not rewrite existing bookings or separately negotiated agreements. Continued use after a notified effective date constitutes acceptance to the extent permitted by law; where affirmative acceptance is required, we will obtain it. If you do not agree, you may stop using Foro and close your account, without cancelling accrued obligations or non-waivable rights.

17 Governing law and disputes

Washington State law governs these Terms, excluding conflict-of-laws rules, subject to any mandatory law that applies. Courts of competent jurisdiction located in King County, Washington have exclusive jurisdiction over disputes arising from these Terms, except where applicable law requires otherwise.

These Terms contain no mandatory arbitration requirement or class-action waiver. The choice of law and courts does not deprive a person or business of protections or forums that applicable law makes non-waivable.

18 General provisions and contact

These Terms and any applicable separate agreement form the agreement for use of Foro. Advertising bookings remain separate contracts between their identified parties. Neither party becomes the other’s partner, employee or general agent merely by using or supplying Foro.

A failure to enforce a provision is not a waiver. If a provision is invalid or unenforceable, it is severed to the extent required, and the remainder continues where legally possible. Neither party is excused from accrued payment obligations by circumstances outside its reasonable control.

Notices may be sent to the account email address or through the service where these Terms permit. Keep your contact information current. Contact Glen Strand Corporation at support@ryarc.com or 8201 164th Ave NE #200, Redmond, WA 98052, United States.
